PRÓSPERA PRIVACY POLICY

ACCESS RESTRICTIONS

(a) Access Limitations

Access to and use of the Website is strictly limited to Citizens and lawful residents of countries and subnational jurisdictions that, when accessing the Website, are not:

  1. Subject to the European Union’s General Data Protection Regulation (GDPR); or
  2. Subject to any data protection or privacy regulations that are equally or more burdensome than the GDPR.

(b) Access Warranty

By accessing or using the Website, you expressly warrant and represent that:

  1. You are a citizen or lawful resident of a country that is not subject to the GDPR or any equivalently burdensome data protection or privacy regulations; and
  2. Your access and use of the Website is not subject to the GDPR or any equivalently burdensome data protection or privacy regulations.

(c) Verification and Enforcement

We reserve the right to:

  1. Verify your eligibility to access the Website;
  2. Block access from IP addresses or locations associated with jurisdictions subject to the GDPR or equivalent regulations;
  3. Terminate your access if we determine that you have violated these access restrictions; and
  4. Take any other measures we deem necessary to enforce these access limitations.

(a) Website Licensee

The owners or licensees of this Website (“Website”) include Honduras Próspera Inc., a Delaware corporation (formerly known as Honduras Próspera LLC) (USA) (“HPI”), Próspera Foundation, S.A. (formerly known as North Bay Foundation, S.A.), a Honduran corporation, (“PF”),  Dionysius LLC, a Próspera ZEDE limited liability company (“DLLC”), North Bay GSP, Inc., a Próspera ZEDE for profit corporation (HN) (“GSP”), Próspera Insurance Association LLC, a Próspera ZEDE limited liability Company (HN) (“PIA”), Próspera Insurance Company LLC, a Próspera ZEDE limited liability company (HN) (“PIC”), Próspera Arbitration Center LLC, a Texas limited liability company (USA) (“PAC”), NeWay Capital LLC, a Wyoming limited liability company (USA) (“NC”), Próspera ZEDE (formerly known as ZEDE of North Bay), a ZEDE special regime previously organized under Honduran law (“PZ”), Próspera Trust (formerly known as the ZEDE of North Bay Trust), a Próspera ZEDE statutory trust for financial transactions of the PZ (“PT”), Motus LLC, a Próspera ZEDE limited liability company and Trustee of PT (“Motus”), Motus Wyoming LLC, a Wyoming limited liability company (USA) and wholly owned payment agent of Motus (“Motus Wyoming”), REZ Property Management LLC, a Wyoming limited liability company (USA), Inversiones SJ, S.A. de C.V., a Honduran corporation, Pristine Management, S.A. de C.V., a Honduran corporation, Pristine Services LLC, a Próspera ZEDE limited liability company (HN), Pristine Services S.A. de C.V., a Honduran corporation, SJBEC LLC, a Próspera ZEDE limited liability company (HN), and/or any affiliate thereof (collectively or individually, as applicable, “Licensee”, “we”, “us”, or “our”).

PZ, GSP, PT, PIA, and PIC reserve and maintain the position that their authorities continue under Article 10.4 of CAFTA-DR, and Article 16.4 of the Agreement for the Promotion and Reciprocal Protection of Investments between Honduras and Kuwait. The operations are conducted consistent with the continued legal existence of Próspera ZEDE based on: (a) valid constitutional provisions never properly repealed; (b) acquired rights protected under domestic and international law; (c) binding treaty obligations including a 50-year stability guarantee; (d) fundamental principles of res judicata, due process, and non-retroactivity; (e) the fundamental non-executability of any contrary ruling against consolidated legal situations and non-parties; and (f) the supremacy of international treaty obligations.

PT and its Trustee, Motus, have made a regulatory election of “Próspera Fintech Regulation A” pursuant to the Próspera Industrial Regulation Statute. Motus Wyoming serves as the wholly owned payment agent of Motus and is registered with FinCEN as a Money Services Business.

As the designated principal of this Website, the GSP can be contacted by mail at c/o Acting ZEDE Manager, Beta Building, St. John’s Bay, Próspera ZEDE, Island of Roatan, Bay Islands, Republic of Honduras 34101, by phone at +504 9496-7194, or by e-mail at gsp@prospera.hn. This online Privacy Policy discloses Licensee information practices for this Website, including what type of personal identifiable information is requested in order to pay fees, how the information is used, and with whom the information is shared. Note that other Websites may be governed by Privacy Policies containing different information practices applicable to those sites. Reference to any of the foregoing licensees include all of their respective agents, employees, officers, directors, owners, shareholders and affiliates by majority ownership, control or contract.

(b) Website Visits

Each Licensee may collect and share between and among them (the “Licensee”) information from Website visitors and users in accordance with Applicable Law (as defined in the Próspera Terms of Service). This includes, but is not limited to, the home server domain name, e-mail address, type of computer and web browser, what pages visitor accessed, and limited information about search requests, as well as the Personal Information discussed below. This information is used to solve technical problems, background checks, optimization of governance, updating and improving website and software, technical problems, furnish governance services, economic development, business promotion and development, law enforcement, contract enforcement, and to calculate overall usage statistics.

(c) Website Transactions

At times, Licensee will need personal information defined below (“Personal Information”) regarding a user (including actual or prospective Residents, e-Residents, and visitors) (“User”). For example, to process an order or provide access to e-governance services, Licensee may need to know a User’s name, mailing address, e-mail address and credit card details.

  1. Personal Information That May Be Collected

(a) Identifying Information

In order to pay fees for and/or access designated e-governance services and/or restricted areas within the Website, any of Licensee may request a user to provide certain personal identifying information, which may include: legal name, postal address, e-mail address, screen name, password, telephone number, facsimile number, method of payment, and, if applicable, credit card number, and any other information to collection and storage of which the Registry Laws authorize.

(b) Service Quality Monitoring

Some Website transactions may require a User to telephone or email one or more entities among Licensee, or for such entity to call or email the User. User should be aware that it is Licensee’s practice to monitor, and in some cases record such calls for staff training or quality assurance purposes.

(c) Information from Children

Licensee does not collect or maintain information from users actually known to be under the age of 13 except in connection with a residency application by such child’s parent or guardian or for law enforcement or contract enforcement purposes, and no part of this or other Websites are structured to attract anyone under the age of 13.

(d) Lost or Stolen Information

Help keep your Personal Information accurate. If a User’s Personal Information has changed, please e-mail the new information to GSP at the e-mail address shown in Paragraph 1(a). If a User would like to review the Personal Information Licensee has in its files regarding the User, e-mail your request to GSP.

(e) Chat Rooms, Forums and Bulletin Boards

If User participates in a chat room, discussion forum, or posts messages to a bulletin board, User should be aware that the information disclosed and shared will be broadly available to other persons, who have access to that chat room, forum or bulletin board. Some individual chat rooms, forums or bulletin boards have additional rules and conditions regarding participation. Also, participant’s expressed opinion is his or her own and should not be considered as reflecting the opinion of any of the Licensee.

(f) Links to Other Websites

A Website may contain links to other websites. None of the Licensee are responsible for the privacy practices or the content of those other Websites by virtue of your use of this Website.

  1. Uses Made of the Information

(a) Limited Uses Identified

Personal information collected by Licensee will be used by Licensee for the following purposes: solving technical problems, securing background checks, optimization of governance, updating and improving website and software, technical problems, furnish governance services, economic development, business promotion and development, law enforcement, contract enforcement, and to calculate overall usage statistics.

(b) Marketing Uses

Licensee reserves the right to provide User with information about the Website, as well as other products and services, and related information in which User has indicated an interest through email, phone, mail or any other medium of communication.

(c) Stored Information Uses

Licensee may store and retain the information provided by User. Stored information is used by Licensee for the following purposes: solving technical problems, securing background checks, optimization of governance, updating and improving website and software, technical problems, furnish governance services, economic development, business promotion and development, law enforcement, contract enforcement, and to calculate overall usage statistics.

(d) Online Advertising

Some companies that help Licensee deliver interactive on-line advertising, such as banner ads, may collect and use information about Users for the following purposes: solving technical problems, securing background checks, optimization of governance, updating and improving website and software, technical problems, furnish governance services, economic development, business promotion and development, law enforcement, contract enforcement, and to calculate overall usage statistics.

  1. Disclosure of the Information

(a) Among Licensee

Each of Licensee retains the services of multinational organizations, which may involve legal entities, business processes, management structures, and technical systems that cross both jurisdictional and national borders. Each Licensee may share your Personal Information among each other Licensee, and may transfer the information to countries in the world where Licensee affiliates conduct business. Some countries and jurisdictions may provide less legal protection for User Personal Information than others. In such countries and jurisdictions, Licensee will still handle User Personal Information in the manner described herein.

(b) Resource and Asset Sharing

For the purpose of implementing, developing and expanding its jurisdiction and network, Licensee may share, rent, sell or buy various assets. In such transactions, User information can be one of the transferred assets.

(c) Agents

Licensee employs or engages other companies and individuals to perform business and/or governmental functions. These persons are provided with personal identifying information required to perform their functions, but are prohibited by contract from using the information for other purposes.

(d) Affiliated Agencies and Businesses

Licensee works closely with affiliated governmental institutions, agencies and independent businesses. User information related to a transaction with an affiliated business is shared with that affiliated business.

(e) Marketing Analysis by Third Parties

Licensee reserves the right to disclose to third parties Personal Information about Users for marketing analysis; however, any information disclosed will be in the form of aggregate data that does not describe or identify an individual User.

(f) Disclosure to Governmental Authorities

One or all of Licensee releases personal identifying information when it is believed such release is appropriate to comply with law, to enforce contracts, or to protect the rights, property or safety of Users. Licensee may also release such information in an exchange of information with other companies and/or organizations for the purposes of fraud protection and credit risk reduction.

  1. Use of Computer Tracking Technologies

(a) Use of Cookies

A cookie is a small amount of data that is sent to User’s browser from a Web server and is stored on the computer’s hard drive. Any of Licensee may use non-identifying cookies to provide easier site navigation. Licensee’s Website(s) can still be used if User’s browser is set to reject cookies. Licensee’s cookies do not generate personal data, do not read personal data from your machine and are never tied to anything that could be used to identify you.

(b) Use of Web Beacon Technologies

Any of Licensee may also use Web beacon or other technologies to better tailor its Website(s) to provide better User service. If these technologies are in use, when a visitor accesses these pages of the Website, a non-identifiable notice of that visit is generated which may be processed by any of Licensee. Web beacons usually work in conjunction with cookies. If User does not want cookie information to be associated with User’s visits to these pages, User can set its browser to turn off cookies; however, Web beacon and other technologies will still detect visits to these pages, but the notices they generate cannot be associated with other non-identifiable cookie information and are disregarded.

(c) Collection of Non-Identifiable Information

Licensee may collect non-identifiable information from user visits to the Website(s) in order to provide better User service. Examples of such collecting include: traffic analysis, such as tracking of the domains from which users visit, or tracking numbers of visitors; measuring visitor activity on Website(s); Website and system administration; user analysis; and business decision making. Such information is sometimes known as “clickstream data.” Licensee, or its contractors, may use this data to analyze trends and statistics.

(d) Collection of Personal Information

Licensee collects personal identifying information from User during a transaction.

  1. Information Security

(a) Online Security

Licensee intends to protect User Personal Information and to maintain its quality. To achieve information security and quality, Licensee may implement appropriate measures and processes, such as using encryption when transmitting certain sensitive information.

(b) No Liability for Acts of Third Parties

The Licensee shall not be liable for unauthorized disclosure of Personal Information including, but not limited to, errors in transmission and unauthorized acts of Licensee staff and third parties.

  1. Privacy Policy Changes and Opt-Out Rights

(a) Changes to Privacy Policy

This Privacy Policy was last updated on or about June 10, 2025. Licensee reserves the right to change this privacy policy statement at any time. A notice of any material change will be posted on the Website on page for ten (10) days prior to the implementation of such change.

(b) Opt-Out Right

If User has not become a Resident, e-Resident or contractual visiting permittee, User has the right at any time to cease permitting Personal Information to be collected, used or disclosed by Licensee, and/or by any third parties with whom any of the Licensee has shared and/or transferred such Personal Information. Right of cancellation may be exercised by contacting GSP via e-mail at gsp@prospera.hn, telephone or postal mail. After processing the cancellation, Licensee will delete or cause the deletion of User or prospective User’s Personal Information from their database(s) unless they have a law enforcement or contract enforcement basis to retain such information.

  1. Access Rights to Data

(a) Information Maintained by Licensee

Upon User’s request, Licensee will provide a reasonable description of User’s personally identifiable information that Licensee maintains subject to law enforcement considerations. (b) Corrections and Changes to Personal Information

If User’s Personal Information changes, or if User notes an error upon review of User information that Licensee has on file, please promptly e-mail GSP and provide the new or correct information.

  1. Accountability

(a) Questions, Problems and Complaints

If you have a question about this policy statement, or a complaint about Licensee compliance with this privacy policy, you may contact GSP by e-mail at gsp@prospera.hn.

(b) Terms of Service

If User chooses to access the Website or pay for e-governance services, User’s action is hereby deemed acceptance of the terms and conditions of this Privacy Policy and Licensee practices described in this policy statement. The Próspera Terms of Service are also incorporated herein by reference and are controlling. Any dispute over privacy between User and any of the Licensee is subject to the provisions of this notice and to the Próspera Terms of Service.

  1. Limitation of Liability/Dispute Resolution

(a) This Privacy Policy shall be governed by the Applicable Law of the Próspera Terms of Service.

(b) None of the Licensee shall be liable for damages of any kind, whether as a result of a loss by the User of present or prospective profits, anticipated sales, expenditures, investments, commitments made in connection with this Privacy Policy, or on account of any other reason or cause whatsoever in any way related to using the Website.

(c) Any dispute arising under and in connection with this Privacy Policy, shall be brought exclusively to the PAC or the International Centre for Dispute Resolution of the American Arbitration Association, in accordance with their respective binding private mediation rules, as amended from time to time.

  1. Relationship to Other Agreements

(a) Nothing in this Privacy Policy shall be construed to override or modify any Agreement of Coexistence (Resident or e-Resident) binding the User.

(b) An Agreement of Coexistence and any related side letter binding User, if any, shall control this Privacy Policy in the event of any conflict between the two.

(c) The Próspera Terms of Service shall control this Privacy Policy in the event of any conflict between the two.

(d) This Privacy Policy may be translated into Spanish and other languages; however, the English version of this Privacy Policy shall be controlling.

  1. Special Considerations for U.S. and E.U. Visitors

(a) EUROPEAN VISITORS

Please note that we deny access to this Website if, when doing so, you are governed by the GDPR. If you nevertheless violate this condition of access and your corresponding warranty, you are requested to exercise your rights, if any, under the General Data Protection Regulation (GDPR) by first calling the Licensee’s General Counsel at 1-602-228-2582 (ask for Nicholas C. Dranias) so that we are able to process your inquiry properly; which may include submission of the matter for binding dispute resolution under this Privacy Policy. Also, if, despite the foregoing access restrictions and your corresponding warranty, you wish to contact supervisory authorities within the EEA, including in your own Member State, about concerns you have related to our privacy practices, we would recommend contacting the Dutch Data Protection Authority, also known as the Autoriteit Persoonsgegevens. Further, notwithstanding the foregoing access restriction and your corresponding warranty, please be advised: (i) Licensee voluntarily seeks to conform its conduct in compliance with all GDPR requirements for the Personal Information that it processes (although when acting in a governmental capacity, Licensee claims certain jurisdictional exemptions, exclusions, and immunities from the same under international law); (ii) this Privacy Policy sets out how we handle Personal Information and our legal basis for doing so. Despite the foregoing access restrictions and your warranty, regulatory officials may take the position (which we reserve the right to dispute) that you have the following rights under the GDPR (subject to the aforesaid jurisdictional exemptions, exclusions, and immunities, as well as the express terms and conditions of this Privacy Policy): (1) The right of access to Personal Information; (2) The right to rectification or correction of any errors in Personal Information; (3) The right to request deletion of Personal Information; (4) The right to restrict or object to the processing of Personal Information; (5) The right to withdraw consent to the processing of Personal Information; (6) The right of portability in Personal Information; and (7) The right to lodge a complaint with a supervisory authority.

(b) UNITED STATES VISITORS

Federal or state law may require the following additional policies; to the extent not inconsistent with Applicable Law and an Agreement of Coexistence, Licensee agrees to the following:

(i) CalOPPA (California Online Privacy Protection Act):

(1) Users can visit our site anonymously.

(2) Users will be notified of any privacy policy changes on our Privacy Policy Page.

(3) Users are able to change their Personal Information: By calling or emailing us.

(4) Licensee honors do not track signals and do not track, plant cookies, or use advertising when a Do Not Track (DNT) browser mechanism is in place. However, we cannot control the policies of our third party hosting services.

(5) Licensee allows third-party behavioral tracking.

(ii) COPPA (Children Online Privacy Protection Act)

Licensee will comply with the U.S. Federal Trade Commission’s COPPA Rule, which spells out what operators of websites and online services must do to protect children’s privacy and safety online. We do not specifically market to children under 13.

(iii) CAN SPAM Act

(A) Licensee will comply with the U.S. CAN SPAM Act.

(B) Licensee may collect your email address in order to: • Send information, respond to inquiries, and/or other requests or questions. • Process requests services and to send information and updates pertaining to orders. • Send Users additional information related to our services. • Market to our mailing list or continue to send emails to Users after the original transaction has occurred.

(C) Licensee will NOT use false or misleading subjects or email addresses.

(D) Licensee will identify the message as an advertisement in some reasonable way.

(E) Licensee will include the physical address of our business or site headquarters.

(F) Licensee will monitor third-party email marketing services for compliance, if one is used.

(G) Licensee will honor opt-out/unsubscribe requests quickly.

(H) Licensee will allow Users to unsubscribe by using the link at the bottom of each email.

(I) If at any time you would like to unsubscribe from receiving future emails, you can email us at privacy@prospera.hn and we will promptly remove you from ALL correspondence.

Esto incluye, pero no se limita a, el nombre de dominio del servidor doméstico, dirección de correo electrónico, tipo de computadora y navegador web, qué páginas accedió el visitante, e información limitada sobre solicitudes de búsqueda, así como la Información Personal discutida a continuación. Esta información se usa para resolver problemas técnicos, verificaciones de antecedentes, optimización de gobernanza, actualización y mejora del sitio web y software, problemas técnicos, proporcionar servicios de gobernanza, desarrollo económico, promoción y desarrollo empresarial, aplicación de la ley, cumplimiento de contratos, y para calcular estadísticas de uso general.

(c) Transacciones del Sitio Web

En ocasiones, el Licenciatario necesitará información personal definida a continuación (“Información Personal”) respecto a un usuario (incluyendo Residentes actuales o potenciales, Residentes electrónicos, y visitantes) (“Usuario”). Por ejemplo, para procesar un pedido o proporcionar acceso a servicios de gobierno electrónico, el Licenciatario puede necesitar conocer el nombre del Usuario, dirección postal, dirección de correo electrónico y detalles de tarjeta de crédito.

  1. Información Personal Que Puede Ser Recopilada

(a) Información de Identificación

Para pagar tarifas por y/o acceder a servicios designados de gobierno electrónico y/o áreas restringidas dentro del Sitio Web, cualquiera del Licenciatario puede solicitar a un usuario que proporcione cierta información personal identificable, que puede incluir: nombre legal, dirección postal, dirección de correo electrónico, nombre de pantalla, contraseña, número de teléfono, número de fax, método de pago, y, si corresponde, número de tarjeta de crédito, y cualquier otra información cuya recopilación y almacenamiento autoricen las Leyes del Registro.

(b) Monitoreo de Calidad del Servicio

Algunas transacciones del Sitio Web pueden requerir que un Usuario llame por teléfono o envíe un correo electrónico a una o más entidades entre el Licenciatario, o que dicha entidad llame o envíe un correo electrónico al Usuario. El Usuario debe estar consciente de que es práctica del Licenciatario monitorear, y en algunos casos grabar dichas llamadas para propósitos de capacitación del personal o aseguramiento de la calidad.

(c) Información de Menores

El Licenciatario no recopila ni mantiene información de usuarios que se sepa efectivamente que tienen menos de 13 años excepto en conexión con una solicitud de residencia por parte del padre o tutor de dicho menor o para propósitos de aplicación de la ley o cumplimiento de contratos, y ninguna parte de este u otros Sitios Web está estructurada para atraer a personas menores de 13 años.

(d) Información Perdida o Robada

Ayude a mantener su Información Personal precisa. Si la Información Personal de un Usuario ha cambiado, por favor envíe la nueva información por correo electrónico a GSP a la dirección de correo electrónico mostrada en el Párrafo 1(a). Si a un Usuario le gustaría revisar la Información Personal que el Licenciatario tiene en sus archivos respecto al Usuario, envíe su solicitud por correo electrónico a GSP.

(e) Salas de Chat, Foros y Tableros de Anuncios

Si el Usuario participa en una sala de chat, foro de discusión, o publica mensajes en un tablero de anuncios, el Usuario debe estar consciente de que la información divulgada y compartida estará ampliamente disponible para otras personas, que tienen acceso a esa sala de chat, foro o tablero de anuncios. Algunas salas de chat individuales, foros o tableros de anuncios tienen reglas y condiciones adicionales respecto a la participación. Además, la opinión expresada del participante es suya propia y no debe considerarse como reflejo de la opinión de ninguno del Licenciatario.

(f) Enlaces a Otros Sitios Web

Un Sitio Web puede contener enlaces a otros sitios web. Ninguno del Licenciatario es responsable por las prácticas de privacidad o el contenido de esos otros Sitios Web en virtud de su uso de este Sitio Web.

  1. Usos Hechos de la Información

(a) Usos Limitados Identificados

La información personal recopilada por el Licenciatario será utilizada por el Licenciatario para los siguientes propósitos: resolver problemas técnicos, asegurar verificaciones de antecedentes, optimización de gobernanza, actualizar y mejorar el sitio web y software, problemas técnicos, proporcionar servicios de gobernanza, desarrollo económico, promoción y desarrollo empresarial, aplicación de la ley, cumplimiento de contratos, y para calcular estadísticas de uso general.

(b) Usos de Marketing

El Licenciatario se reserva el derecho de proporcionar al Usuario información sobre el Sitio Web, así como otros productos y servicios, e información relacionada en la que el Usuario ha indicado un interés a través de correo electrónico, teléfono, correo o cualquier otro medio de comunicación.

(c) Usos de Información Almacenada

El Licenciatario puede almacenar y retener la información proporcionada por el Usuario. La información almacenada es utilizada por el Licenciatario para los siguientes propósitos: resolver problemas técnicos, asegurar verificaciones de antecedentes, optimización de gobernanza, actualizar y mejorar el sitio web y software, problemas técnicos, proporcionar servicios de gobernanza, desarrollo económico, promoción y desarrollo empresarial, aplicación de la ley, cumplimiento de contratos, y para calcular estadísticas de uso general.

(d) Publicidad en Línea

Algunas compañías que ayudan al Licenciatario a entregar publicidad interactiva en línea, como anuncios de banner, pueden recopilar y usar información sobre los Usuarios para los siguientes propósitos: resolver problemas técnicos, asegurar verificaciones de antecedentes, optimización de gobernanza, actualizar y mejorar el sitio web y software, problemas técnicos, proporcionar servicios de gobernanza, desarrollo económico, promoción y desarrollo empresarial, aplicación de la ley, cumplimiento de contratos, y para calcular estadísticas de uso general.

  1. Divulgación de la Información

(a) Entre el Licenciatario

Cada uno del Licenciatario retiene los servicios de organizaciones multinacionales, que pueden involucrar entidades legales, procesos empresariales, estructuras de gestión, y sistemas técnicos que cruzan fronteras tanto jurisdiccionales como nacionales. Cada Licenciatario puede compartir su Información Personal entre cada otro Licenciatario, y puede transferir la información a países en el mundo donde las afiliadas del Licenciatario realizan negocios. Algunos países y jurisdicciones pueden proporcionar menos protección legal para la Información Personal del Usuario que otros. En dichos países y jurisdicciones, el Licenciatario aún manejará la Información Personal del Usuario de la manera descrita aquí.

(b) Compartir Recursos y Activos

Para el propósito de implementar, desarrollar y expandir su jurisdicción y red, el Licenciatario puede compartir, alquilar, vender o comprar varios activos. En dichas transacciones, la información del Usuario puede ser uno de los activos transferidos.

(c) Agentes

El Licenciatario emplea o contrata a otras compañías e individuos para realizar funciones empresariales y/o gubernamentales. A estas personas se les proporciona información personal identificable requerida para realizar sus funciones, pero están prohibidas por contrato de usar la información para otros propósitos.

(d) Agencias y Negocios Afiliados

El Licenciatario trabaja estrechamente con instituciones gubernamentales afiliadas, agencias y negocios independientes. La información del Usuario relacionada con una transacción con un negocio afiliado se comparte con ese negocio afiliado.

(e) Análisis de Marketing por Terceros

El Licenciatario se reserva el derecho de divulgar a terceros Información Personal sobre los Usuarios para análisis de marketing; sin embargo, cualquier información divulgada será en forma de datos agregados que no describen o identifican a un Usuario individual.

(f) Divulgación a Autoridades Gubernamentales

Uno o todos del Licenciatario liberan información personal identificable cuando se cree que dicha liberación es apropiada para cumplir con la ley, para hacer cumplir contratos, o para proteger los derechos, propiedad o seguridad de los Usuarios. El Licenciatario también puede liberar dicha información en un intercambio de información con otras compañías y/u organizaciones para los propósitos de protección contra fraude y reducción del riesgo crediticio.

  1. Uso de Tecnologías de Rastreo por Computadora

(a) Uso de Cookies

Una cookie es una pequeña cantidad de datos que se envía al navegador del Usuario desde un servidor Web y se almacena en el disco duro de la computadora. Cualquiera del Licenciatario puede usar cookies no identificadoras para proporcionar una navegación más fácil del sitio. El(los) Sitio(s) Web del Licenciatario aún pueden ser utilizados si el navegador del Usuario está configurado para rechazar cookies. Las cookies del Licenciatario no generan datos personales, no leen datos personales de su máquina y nunca están vinculadas a nada que pueda ser utilizado para identificarlo.

(b) Uso de Tecnologías Web Beacon

Cualquiera del Licenciatario también puede usar Web beacon u otras tecnologías para adaptar mejor su(s) Sitio(s) Web para proporcionar un mejor servicio al Usuario. Si estas tecnologías están en uso, cuando un visitante accede a estas páginas del Sitio Web, se genera un aviso no identificable de esa visita que puede ser procesado por cualquiera del Licenciatario. Los Web beacons usualmente funcionan en conjunto con las cookies. Si el Usuario no desea que la información de cookies esté asociada con las visitas del Usuario a estas páginas, el Usuario puede configurar su navegador para desactivar las cookies; sin embargo, el Web beacon y otras tecnologías aún detectarán visitas a estas páginas, pero los avisos que generan no pueden asociarse con otra información de cookies no identificable y son descartados.

(c) Recopilación de Información No Identificable

El Licenciatario puede recopilar información no identificable de las visitas de usuarios al(los) Sitio(s) Web para proporcionar un mejor servicio al Usuario. Ejemplos de dicha recopilación incluyen: análisis de tráfico, como el rastreo de los dominios desde los cuales los usuarios visitan, o rastreo del número de visitantes; medición de la actividad del visitante en el(los) Sitio(s) Web; administración del Sitio Web y del sistema; análisis de usuarios; y toma de decisiones empresariales. Dicha información a veces se conoce como “datos de flujo de clics”. El Licenciatario, o sus contratistas, pueden usar estos datos para analizar tendencias y estadísticas.

(d) Recopilación de Información Personal

El Licenciatario recopila información personal identificable del Usuario durante una transacción.

  1. Seguridad de la Información

(a) Seguridad en Línea

El Licenciatario tiene la intención de proteger la Información Personal del Usuario y mantener su calidad. Para lograr la seguridad y calidad de la información, el Licenciatario puede implementar medidas y procesos apropiados, como usar encriptación al transmitir cierta información sensible.

(b) Sin Responsabilidad por Actos de Terceros

El Licenciatario no será responsable por la divulgación no autorizada de Información Personal incluyendo, pero no limitándose a, errores en la transmisión y actos no autorizados del personal del Licenciatario y terceros.

  1. Cambios en la Política de Privacidad y Derechos de Exclusión

(a) Cambios a la Política de Privacidad

Esta Política de Privacidad fue actualizada por última vez el o alrededor del 10 de junio de 2025. El Licenciatario se reserva el derecho de cambiar esta declaración de política de privacidad en cualquier momento. Un aviso de cualquier cambio material será publicado en la página del Sitio Web durante diez (10) días antes de la implementación de dicho cambio.

(b) Derecho de Exclusión

Si el Usuario no se ha convertido en Residente, Residente electrónico o permisionario visitante contractual, el Usuario tiene el derecho en cualquier momento de cesar de permitir que la Información Personal sea recopilada, utilizada o divulgada por el Licenciatario, y/o por cualquier tercero con quien cualquiera del Licenciatario haya compartido y/o transferido dicha Información Personal. El derecho de cancelación puede ser ejercido contactando a GSP vía correo electrónico a gsp@prospera.hn, teléfono o correo postal. Después de procesar la cancelación, el Licenciatario eliminará o causará la eliminación de la Información Personal del Usuario o Usuario potencial de su(s) base(s) de datos a menos que tengan una base de aplicación de la ley o cumplimiento de contratos para retener dicha información.

  1. Derechos de Acceso a los Datos

(a) Información Mantenida por el Licenciatario

A solicitud del Usuario, el Licenciatario proporcionará una descripción razonable de la información personalmente identificable del Usuario que el Licenciatario mantiene sujeto a consideraciones de aplicación de la ley. GSP, como principal del Licenciatario, puede ser contactado por correo electrónico a gsp@prospera.hn, teléfono al +504 9496-7194, o correo postal a c/o North Bay GSP, Inc., Edificio Beta, St. John’s Bay, Próspera ZEDE, Isla de Roatán, Islas de la Bahía, República de Honduras 34101.

(b) Correcciones y Cambios a la Información Personal

Si la Información Personal del Usuario cambia, o si el Usuario nota un error al revisar la información del Usuario que el Licenciatario tiene en archivo, por favor envíe prontamente un correo electrónico a GSP y proporcione la información nueva o correcta.

  1. Responsabilidad

(a) Preguntas, Problemas y Quejas

Si tiene una pregunta sobre esta declaración de política, o una queja sobre el cumplimiento del Licenciatario con esta política de privacidad, puede contactar a GSP por correo electrónico a gsp@prospera.hn.

(b) Términos de Servicio

Si el Usuario elige acceder al Sitio Web o pagar por servicios de gobierno electrónico, la acción del Usuario se considera por la presente como aceptación de los términos y condiciones de esta Política de Privacidad y las prácticas del Licenciatario descritas en esta declaración de política. Los Términos de Servicio de Próspera también se incorporan aquí por referencia y son controladores. Cualquier disputa sobre privacidad entre el Usuario y cualquiera del Licenciatario está sujeta a las disposiciones de este aviso y a los Términos de Servicio de Próspera.

  1. Limitación de Responsabilidad/Resolución de Disputas

(c) Cualquier disputa que surja bajo y en conexión con esta Política de Privacidad, será llevada exclusivamente al PAC o al Centro Internacional para la Resolución de Disputas de la Asociación Americana de Arbitraje, de acuerdo con sus respectivas reglas de mediación privada vinculante, según sean modificadas de tiempo en tiempo.

(b) Un Acuerdo de Coexistencia y cualquier carta adjunta relacionada que vincule al Usuario, si la hay, controlará esta Política de Privacidad en caso de cualquier conflicto entre los dos.

(c) Los Términos de Servicio de Próspera controlarán esta Política de Privacidad en caso de cualquier conflicto entre los dos.

(d) Esta Política de Privacidad puede ser traducida al español y otros idiomas; sin embargo, la versión en inglés de esta Política de Privacidad será la controladora.

  1. Consideraciones Especiales para Visitantes de EE.UU. y la U.E.

(a) VISITANTES EUROPEOS

Por favor note que negamos el acceso a este Sitio Web si, al hacerlo, usted está gobernado por el RGPD. (ii) COPPA (Ley de Protección de Privacidad Infantil en Línea)

El Licenciatario cumplirá con la Regla COPPA de la Comisión Federal de Comercio de EE.UU., que detalla lo que los operadores de sitios web y servicios en línea deben hacer para proteger la privacidad y seguridad de los niños en línea. No comercializamos específicamente a niños menores de 13 años.

(B) El Licenciatario puede recopilar su dirección de correo electrónico para: • Enviar información, responder a consultas, y/u otras solicitudes o preguntas. • Procesar solicitudes de servicios y enviar información y actualizaciones relacionadas con pedidos. • Enviar a los Usuarios información adicional relacionada con nuestros servicios. • Comercializar a nuestra lista de correo o continuar enviando correos electrónicos a los Usuarios después de que haya ocurrido la transacción original.

(C) El Licenciatario NO usará asuntos o direcciones de correo electrónico falsas o engañosas.

(D) El Licenciatario identificará el mensaje como un anuncio de alguna manera razonable.

(E) El Licenciatario incluirá la dirección física de nuestra sede empresarial o del sitio.

(F) El Licenciatario monitoreará los servicios de marketing por correo electrónico de terceros para el cumplimiento, si se usa uno.

(G) El Licenciatario honrará las solicitudes de exclusión/cancelación de suscripción rápidamente.

(H) El Licenciatario permitirá a los Usuarios cancelar la suscripción usando el enlace en la parte inferior de cada correo electrónico.

(I) Si en cualquier momento desea cancelar la suscripción para recibir futuros correos electrónicos, puede enviarnos un correo electrónico a privacy@prospera.hn y lo eliminaremos prontamente de TODA la correspondencia.
